ATHLETIC CLUB BOISE SEASON TICKET AGREEMENT

The Athletic Club Boise (“Athletic Club Boise”) hereby provides the following season ticket agreement (the “Agreement”).

This Agreement applies to Athletic Club Boise Season Ticket Memberships (individually, a “Membership,” collectively, the “Memberships”). The breach by a Member (defined below) of any of the provisions contained herein will automatically terminate the grant of license and benefits provided by the Membership.

"Athletic Club Boise" means the professional United Soccer League (“USL”) team operated by USL Les Bois LLC.

"Member" or "Holder" means an individual or entity who has purchased or is in possession of a Membership for Athletic Club Boise.

"Season" shall mean a single regular season of the Club for which a Membership is purchased, as determined by such Club’s League, but shall in all circumstances include pre-season and exclude post-season games.

USL Championship and USL League One shall each be individually referred to herein as a “League” and collectively as the “Leagues.”

The Stadium at Expo Idaho and its surrounding facilities, including all surrounding parking areas, pedestrian plazas, entryways, and other ancillary areas, shall be referred to herein each individually as a “Stadium” and collectively as “Stadiums.”

The following is a summary of Season Ticket Membership benefits (“Benefits”) for Athletic Club Boise as of the date of this Agreement. These Benefits are subject to change without notice:

All Athletic Club Boise Season USL home matches

First rights to purchase same seats for Athletic Club Boise home Lamar Hunt U.S. Open Cup and Scotiabank CONCACAF Champions League Matches (excluding finals)

First rights to purchase same seats for all playoff games at The Stadium at Expo Idaho

The ability to purchase additional tickets at a discount prior to public on-sale and throughout the season

Invites to special events and experiences

Priority access to events at The Stadium at Expo Idaho

By purchasing a Membership, you are joining the Athletic Club Boise Season Ticket Membership program that will renew every year under the following payment terms:

Members may select one of the following plans:

Annual Plan: Pay 100% of the cost of the Membership in a single payment. Payment is automatically processed for the following Season on the Club’s designated renewal date unless the Member opts out in writing. Payment may be made using American Express, Discover, MasterCard, or Visa (each a “Credit Card” or “Debit Card”).

Monthly Installment Payment Plan: Pay for the cost of the Membership for the next Season in equal monthly installments, with the final payment occurring in August. Unless written notice of non-renewal is delivered to Athletic Club Boise, payments for each new Season will commence on the Club’s designated renewal date. Each monthly payment will be automatically charged via Credit Card or ACH.

Two-Year Season Ticket Plan (“Two-Year Plan”): By selecting and purchasing a Two-Year Plan, the Member agrees to purchase a Season Ticket Membership for the subsequent Season following the initial Season covered by the Two-Year Plan. Pricing for the subsequent Season will be at the rate in effect at renewal for Two-Year Plan Members.

If a Member elects to opt out of the second Season prior to its commencement, the Member shall be assessed an early termination penalty equal to:

The total amount of per-seat savings received for the initial Season as compared to the applicable one-year plan rate at purchase, multiplied by the number of seats in the Member’s account; plus

The $150.00 portion will be applied as a credit to the Member’s account for future Athletic Club Boise tickets. The per-seat savings portion is non-refundable and will not be credited toward any future purchases. All penalties under this provision are subject to the same processing fees applicable to Membership payments. Failure to pay the penalty (including processing fees) in full by the due date specified by Athletic Club Boise will constitute a breach of this Agreement and may result in loss of all Membership privileges.

All payments are subject to a processing fee.

All payments shall be made on the same calendar date each month as established by the Member’s selected payment plan start date, without demand, to USL Les Bois LLC, as applicable. In the event any Membership payment is delinquent for ten (10) days or more from its scheduled due date, the Member shall be liable for and agrees to pay a delinquent charge of $15.00 for general seating or $30.00 for any premium seat, as determined by Athletic Club Boise.

By purchasing a Membership for the upcoming Season, Members agree to automatic renewal on the Club’s designated renewal date for the next Season unless written notice of non-renewal is delivered to Athletic Club Boise.

Each year, Athletic Club Boise will send a renewal notice at least thirty (30) days prior to the renewal date, specifying new pricing, any changes to Membership Benefits, and ticketing policies. Members who opt out will retain Membership status for the current Season, and all current Season payments must still be completed.

If no cancellation notice is received by the renewal date, tickets will automatically renew, and the first payment will be due in accordance with the selected payment option.

Any price changes will be communicated at least thirty (30) days before implementation. Members may select a different payment plan prior to the renewal date; changes are not effective until confirmed by Athletic Club Boise.

Memberships cannot be suspended. If a Member cancels, re-enrollment is subject to availability and then-current pricing and benefits.

By purchasing a Membership, each Member authorizes Athletic Club Boise to automatically, without further notice, initiate debit or credit card payments as selected by the Member.

Pay As We Play Program for Additional Matches & Playoffs

Members in good standing are automatically enrolled in the Pay As We Play Program for matches outside of the standard Season Ticket Benefits (e.g., USL Playoffs, Leagues Cup, CONCACAF Champions League, Lamar Hunt U.S. Open Cup). Athletic Club Boise will invoice Members for the same seats held in their Membership. Members may opt out within the designated Opt-Out Period (minimum of 48 hours). Failure to opt out will authorize Athletic Club Boise to charge the payment method on file.

IMPORTANT: YOUR EVENT TICKET IS A REVOCABLE LICENSE; HOLDER ACCEPTS RISK OF ILLNESS AND/OR INJURY; AUTHORIZED RE-ENTRY ONLY.

By using a ticket (“Ticket”) to an event hosted by USL Les Bois LLC (the “Club”) at The Stadium at Expo Idaho (or any other venue in which Athletic Club Boise home games may be played) (collectively, and together with surrounding areas, including parking lots, The Cove and the Great Lawn, the “Venue”), the Ticket holder (“Holder”), on his/her/their own behalf and on behalf of (i) any minor accompanying Holder to the event; and/or (ii) any other accompanying party for whom Holder retains a Ticket to attend the event with Holder (each of whom Holder represents has authorized Holder to act on their behalf in accepting these terms) (collectively, an “Accompanying Party”), agrees to the following terms and conditions (the “Agreement”). The Club may change the terms of the Agreement at any time without notice, and Holder’s and/or Accompanying Party’s use of the Ticket(s) after such changes are posted will constitute acceptance of the revised terms. Holder is responsible for reading and understanding the Agreement before using the Ticket.

ASSUMPTION OF RISK, WAIVER, AND RELEASE OF LIABILITY

Holder acknowledges and assumes all risks and dangers associated with attending the event or any pre-game, in-game, or post-game activities (“Event Activities”), including but not limited to risks associated with crowds, natural occurrences, actions of other spectators, and negligence of Released Parties. Holder acknowledges that attendance is voluntary and agrees that USL Les Bois LLC, The Stadium at Expo Idaho, their related entities and affiliates, and their respective owners, officers, directors, employees, agents, licensees, sponsors, and vendors (collectively, the “Released Parties”) are not responsible for any personal injury (including death), illness, property damage, or other loss suffered in connection with the Event Activities.

By attending the Event, Holder and Accompanying Party grant a full release of liability to the Released Parties to the fullest extent permitted by law for any claims arising out of attendance at, observation of, or participation in the Event Activities. If Holder does not wish to or is not authorized to grant such rights, Holder should immediately leave the Venue with all Accompanying Parties.

USL Les Bois LLC and the Venue operators and its respective staff are not responsible for any lost, stolen, or damaged personal property, including but not limited to vehicles parked at the Venue. Fans are encouraged to secure their belongings and report any lost items to Venue security and/or law enforcement.

UNAUTHORIZED COMMERCIAL USE AND MARKETING RESTRICTIONS

Tickets may not be resold above face value, used for commercial purposes, or as part of unauthorized giveaways, sweepstakes, or marketing campaigns without the express written consent of USL Les Bois LLC. Any violation of this policy may result in Ticket cancellation and denial of entry.

Harassment, discrimination, or any form of abuse toward players, staff, or other attendees is strictly prohibited. Any behavior deemed disruptive, inappropriate, or unsafe by the Club or Venue staff will result in immediate ejection without refund and may lead to further action, including a ban from future events.

The Club and Venue staff may inspect belongings upon entry. Prohibited items include but are not limited to weapons, fireworks, outside food or beverages, professional recording equipment, and any other items deemed unsafe or disruptive by the Venue staff. Violations may result in ejection without refund.

All attendees are subject to security screenings upon entry, including but not limited to bag checks, metal detectors, and other security measures. The Venue reserves the right to refuse entry to any individual who does not comply with security procedures or who is in possession of prohibited items.

Holder and Accompanying Party must adhere to the Venue’s Code of Conduct. Disorderly behavior, intoxication, vulgar language, or failure to follow Venue policies may result in ejection without refund. The Club reserves the right to remove any person who engages in conduct deemed improper or dangerous.

TICKET PURCHASE, TRANSFER, AND RESALE RESTRICTIONS

Tickets are revocable licenses issued by the Club. The Club reserves the right to cancel or revoke any Ticket without refund for failure to adhere to Venue policies. Resale of Tickets inside or near the Venue is strictly prohibited. Unauthorized resale may result in Ticket cancellation.

Each individual or entity purchasing, acquiring, and/or using a Ticket acknowledges that non-permitted transfers of Tickets (the “Ticket Transfer Restrictions”) may terminate the revocable license granted by the Club or result in Ticket cancellation without refund or other compensation. Transfers must comply with any resale restrictions imposed by the Club or applicable laws.

Except as stated here or on https://tickets.acboise.com/agb, no refunds or exchanges are allowed. If the event is canceled, Ticket holders may attend a rescheduled event within 12 months or exchange their Ticket for a comparable event for a ticket of equal of lesser value.

Events may be delayed, postponed, or canceled due to weather or other unforeseen issues. Rescheduling details will be provided, but refunds will not be issued unless specified by the Club.

In the event of an emergency or extreme weather, fans will be guided by on-screen and/or public address instructions broadcast throughout the Venue. Attendees are encouraged to familiarize themselves with emergency exits and follow the directions of Venue staff and security personnel.

Alcohol is sold only to individuals of legal drinking age with valid identification. The Club and/or the Venue reserve the right to deny service to intoxicated individuals. Disorderly conduct may result in ejection without refund.

Re-entry is not allowed after exit, except in emergencies as determined by the Club.

Holder and Accompanying Party acknowledge and accept the health risks associated with attending a public event, including exposure to communicable diseases. Holder agrees to follow all health and safety policies in place at the time of the event.

The use of drones, unmanned aerial vehicles (UAVs), or any other aerial devices over the Venue or its surrounding areas is strictly prohibited. Unauthorized use may result in ejection, legal action, and confiscation of the device.

Retain possession of the Ticket until the Event has concluded. The Ticket cannot be replaced if lost, stolen, or destroyed. The Ticket is good only for the particular Event indicated on the Ticket, and no part of the purchase price will be refunded by reason of the failure to use it for the Event.

Should the Event be postponed or otherwise not completed, the Club may reschedule or resume the Event on a new date or dates, at its sole discretion. Ticket holders for a postponed or otherwise incomplete Event may use their Ticket on the rescheduled date or for a future Event, as determined by the Club. No refunds will be provided for failure to use a Ticket on the rescheduled or alternate Event date.

All event dates and times are subject to change. The Club is not responsible for lost, stolen, or duplicated Tickets. Tickets may not be used for advertising, promotions, or other commercial purposes without the Club’s express consent.

By using this Ticket, Holder agrees to these terms. If Holder does not agree, Holder should not attend the Event.

For the safety of players, officials, staff, and fans, unauthorized entry onto the playing surface (the “Pitch”) at any time is strictly prohibited. The Club maintains a zero-tolerance policy for pitch invasions or attempts to access restricted field areas. Consequences for such actions will vary based on the age of the individual and the circumstances involved, as outlined below:

Any person 18 years of age or older who enters or attempts to enter the Pitch without authorization will be subject to the following consequences:

Potential arrest by the Ada County Sheriff's Office (ACSO) and issuance of a Trespass Warning.

Indefinite ban from The Stadium at Expo Idaho, including all future Athletic Club Boise events.

Additional criminal charges as determined by ACSO based on the nature of the conduct.

Any person under the age of 18 who enters or attempts to enter the Pitch without authorization will be subject to the following consequences:

Minimum two (2) week ban from The Stadium at Expo Idaho, including all Athletic Club Boise events, with the exact duration and terms of the ban determined at the discretion of The Stadium at Expo Idaho management.

Minimum six (6) game ban from Athletic Club Boise events.
